("Picturehouse") , American Girl, LLC, ("American Girl") and each of their affiliates, subsidiaries, and agencies (collectively, the "Promotion Entities"). By entering the Sweepstakes, entrants accept and agree to these Official Rules and the decisions of the Sponsor, which shall be final and binding.

TO ENTER: Log on to Verybestkids.com/movie (the "Website") between 8:00 p.m. Eastern Time ("ET") on June 10, 2008 and 8:00 p.m. ET on July 8, 2008 and follow the on-screen instructions to register. All entrants must have a valid e-mail address. In case of dispute as to the identity of the individual who enters, entry will be declared made by the registered user (meeting eligibility criteria) of the e-mail account and, if a prize is won, it will be awarded to that registered user.

Picturehouse is not responsible for the administration of this Sweepstakes or the collection of entries.

Limit one (1) entry per person, per e-mail address. Entries must be received by and Sweepstakes ends 8:00 p.m. ET, July 8, 2008. All Entries become the property of Sponsor, and will not be returned.

Except as otherwise contemplated in these Official Rules, information collected in connection with the Sweepstakes will be used by Sponsor in accordance with its online privacy policy, which can be found at http://www.nestleusa.com/Public/Privacy.aspx. To the extent entrants agree at the time of entry to share their personal information with Sponsor's promotional partners, such promotional partners will use such information in accordance with their own independent privacy practices.

PRIZES: One (1) GRAND PRIZE IS AVAILABLE. The Grand Prize consists of a private movie screening of "Kit Kittredge: an American Girl" for the winner and up to forty-nine (49) guests at a movie theater in or near the winner's hometown, one (1) Kit Kittredge doll; two (2) packages of JUICY JUICE® 100% Juice, (two coupons, each good for one free package of any JUICY JUICE® 100% Juice); two (2) bags of NESTLÉ® TOLL HOUSE® Morsels; (two coupons, each good for one free package of any NESTLÉ® TOLL HOUSE® Morsels); two (2) packages of NESTLÉ® TOLL HOUSE® Cookie Dough, (two coupons, each good for one free package of any NESTLÉ® TOLL HOUSE® Cookie Dough); (1) NESTLÉ recipe booklet, one (1) THQ American Girl video game; and one (1) NESTLÉ baking apron. The approximate retail value ("ARV") of the Grand Prize is up to $596.65. The movie screening must be scheduled through Picturehouse, and the specific date, time and location of the screening shall be at the sole discretion of Picturehouse. In no event shall the screening be scheduled later than August 31, 2008. If the Grand Prize winner is not able to attend the screening on the scheduled date, he or she can decline the prize or accept the prize and still invite up to forty nine (49) guests to attend. Guests must be age appropriate for the motion picture being screened. Recording devices will not be allowed in the screening. In the event that the Grand Prize winner or any of his or her guests engage during the screening in behavior that (as determined by Picturehouse in its sole discretion) is obnoxious or threatening, illegal or that is intended to annoy, abuse, threaten or harass any other person, Picturehouse reserves the right to terminate the screening early, and send the Grand Prize winner and/or his or her guest(s) home with no further compensation. If any guest is a minor, such guest must attend with his or her parent or legal guardian or have permission to attend from his or her parent or legal guardian in a form acceptable to Picturehouse in its sole discretion. Any expenses not specifically stated are the sole responsibility of the winner.

The ARV's of any electronics prizes are subject to price fluctuations in the consumer marketplace based upon, among other things, any gap in time between the date the ARV's are estimated for purposes of the Official Rules and the date the prize(s) are awarded or redeemed. If the actual purchase price of an electronic prize is less than the ARV stated herein, the prize winner will NOT be entitled to a check, cash or other form of payment for the price difference. Odds of winning depend upon the number of eligible entries received. No cash substitutions for prizes will be permitted and prizes are nonrefundable and nontransferable, except at sole discretion of Sponsor. Sponsor reserves the right to substitute prize of equal or greater value. Federal, state and local taxes are the sole responsibility of the winner. Sponsor will report value of prize as required by law. Prizes not duly claimed in accordance with these Official Rules will not be awarded. Total ARV for all prizes is $1,454.25.

The Promotion Entities make no warranties, and hereby disclaim any and all warranties, express or implied, concerning any prize furnished in connection with the Sweepstakes. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SUCH PRIZES ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND THE PROMOTION ENTITIES HEREBY DISCLAIM ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT.

Winner Selection and Notification: Winners will be randomly selected in a drawing from all eligible entries received on or about July 15, 2008. The potential winners will be notified by phone and/or mail and/or email. Winners and their guests will be required to sign a Winner's Agreement and Release and return it within 72 hours of receipt, or prize will be forfeited in its entirety and another winner may be selected. If, despite reasonable efforts, a potential winner does not respond within seventy-two (72) hours of the first notification attempt (or such shorter time as exigencies may require), or if the prize or prize notification is returned as unclaimed or undeliverable to such potential winner, such potential winner will forfeit his or her prize and an alternate winner may be selected. Winners may be required to submit their social security number for tax reporting purposes.

Sponsor shall have no liability for any winner notification that is lost, intercepted or not received by the potential winner for any reason. If any potential winner is found to be ineligible, or if he or she has not complied with these Official Rules or declines a prize for any reason prior to award, such potential winner will be disqualified and an alternate winner may be selected. Sponsor will successively attempt to contact up to two (2) potential winners of a prize in accordance with such procedure, and if there is still no confirmed winner of the prize in question after such attempts have been made, the prize may go unawarded.

General: Acceptance of a prize constitutes winner's permission for the Promotion Entities and those acting under their authority to use the winner's name, photograph, voice. likeness, biographical information, statements and address (city and state) for advertising, trade and/or publicity purposes without additional compensation in all media now known or hereafter discovered, worldwide, including, without limitation, on the World Wide Web, without notice, review or approval unless prohibited.

By participating in this Sweepstakes and/or accepting any prize that they may win, entrants agree: (a) to release the Promotion Entities from any and all actions, claims, injury, loss or damage arising in any manner, directly or indirectly, from participation in this Sweepstakes and/or acceptance or use of the prize, or from entrants' acceptance, receipt, possession and/or use or misuse of any prize, and (b) that the Promotion Entities have not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize's quality or fitness for a particular purpose.

Sponsor assumes no responsibility for computer system, phone line, hardware, software or program malfunctions or other errors, failures of any kinds, delayed computer transmissions or network connections that are human or technical in nature. Sponsor reserves the right in its sole discretion to cancel or suspend this Sweepstakes, in its entirety or in part should virus, bug, tampering, unauthorized intervention, fraud, technical failures, or other causes beyond Sponsor's control corrupt the administration, security, fairness, integrity or proper play of the Sweepstakes. Sponsor reserves the right to withdraw the transmission of this Sweepstakes at any time and award the Prize from among eligible entries received prior to the date of the withdrawal.
